Retia Terms of Service and Privacy Policy

Retia is operated by Ipsis Design LLC ("we," "us," or "our"). By using Retia ("the Service"), you agree to these Terms of Service and Privacy Policy.


Part 1: Terms of Service

1. Acceptance of Terms

By creating an account or using Retia, you agree to be bound by these terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use Retia. By using the Service, you represent that you meet this requirement.

3. Account Registration

You are responsible for:

  • Providing accurate registration information
  • Maintaining the security of your account credentials
  • All activity that occurs under your account

You must notify us immediately of any unauthorized access to your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Upload content that infringes intellectual property rights
  • Attempt to gain unauthorized access to other accounts or systems
  • Distribute malware, spam, or harmful content
  • Use the Service to harass, abuse, or harm others
  • Circumvent any access controls or usage limits
  • Resell or redistribute the Service without authorization

We reserve the right to suspend or terminate accounts that violate these terms.

5. Your Content

You retain ownership of all content you create or upload to Retia ("Your Content"). By using the Service, you grant us a worldwide, royalty-free license to use, store, copy, modify, transmit, display, and create derivative works of Your Content solely as necessary to operate, maintain, and improve the Service. This includes creating backups, formatting for compatibility, indexing for search, caching for performance, and retaining during account deletion periods.

We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Service.

6. Workspace Collaboration

When you invite others to a workspace:

  • You control who has access and what permissions they have
  • Admins and editors can modify content within their permissions
  • Content shared in a workspace is visible to all workspace members
  • Removing a member revokes their access but does not delete their contributions

7. Subscription and Billing

Free Tier: Available at no cost with limited storage.

Paid Tier: The Retia Suite subscription is billed to an organization and covers every member of it, across Retia, Tabulis, and Lectis. Prices are listed on our website and may change with 30 days notice for existing subscribers.

Retired Plans: The per-user Pro and Team subscriptions are no longer sold. Existing ones continue on their current price until cancelled or switched to the Retia Suite; switching reprices the existing subscription and is prorated.

Refunds: We do not offer refunds for partial billing periods. If you cancel, you retain access until the end of your current billing period.

Failed Payments: If payment fails, we will attempt to notify you. After 7 days of failed payment, your account may be downgraded to the Free tier.

Storage Limits on Downgrade: If your account is downgraded for any reason and your stored content exceeds the limits of your new tier, you will have 14 days to reduce your usage. After 14 days, we may delete content to bring your account within the applicable storage limits, starting with the most recently modified files.

8. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We are not liable for any loss resulting from service interruptions.

9. Modifications to the Service

We may modify, suspend, or discontinue features of the Service at any time. For significant changes that materially affect your use, we will provide reasonable notice.

10. Termination

By You: You may delete your account at any time through your account settings.

By Us: We may suspend or terminate your account for violation of these terms, extended inactivity, or at our discretion with reasonable notice.

Upon termination, your data will be deleted within 30 days.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPSIS DESIGN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Ipsis Design LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

14. Dispute Resolution and Arbitration

Informal Resolution: Before filing any claim, you agree to contact us at support@retia.app and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If we cannot resolve the dispute informally, you and Ipsis Design LLC agree to resolve any claims through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

Class Action Waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

Opt-Out: You may opt out of arbitration by sending written notice to support@retia.app within 30 days of creating your account. The notice must include your name, email, and a clear statement that you wish to opt out of arbitration.

15. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. For matters not subject to arbitration, any disputes shall be resolved in the courts of Delaware.

16. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or notice within the Service at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.

17. Severability

If any provision of these terms is found unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All other provisions remain in full force and effect.

18. Entire Agreement

These terms constitute the entire agreement between you and Ipsis Design LLC regarding the Service and supersede all prior agreements, representations, and understandings.

19. Assignment

You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations under these terms without restriction, including in connection with a merger, acquisition, or sale of assets.


Part 2: Privacy Policy

1. Information We Collect

Account Information:

  • Email address
  • Password (stored securely using industry-standard methods)
  • Display name (optional)

Content You Create:

  • Documents and their contents
  • Workspace names and structure
  • Comments and collaboration data

Usage Information:

  • Feature usage and interactions
  • Storage consumption
  • Device and browser information
  • IP address

Payment Information:

  • Billing details are processed by Stripe; we do not store full payment card numbers

2. How We Use Your Information

We use your information to:

  • Provide, maintain, and improve the Service
  • Process payments and manage subscriptions
  • Send transactional emails (account verification, password resets, workspace invites)
  • Respond to support requests
  • Enforce our terms and prevent abuse
  • Comply with legal obligations

We do not sell your personal information to third parties.

3. How We Share Your Information

We share your information only in these circumstances:

With Your Consent: When you share documents publicly or invite others to workspaces.

Within the Retia Suite: Retia is part of the Retia suite — Retia, Tabulis, and Lectis, all operated by Ipsis Design LLC. Your Retia account is the account for all three, so identity information (your account identifier and email address), your organization's membership list, and your organization's subscription entitlements are shared between the suite's products to operate sign-in, permissions, and billing. When a document is attached to work in Tabulis, its title, a short excerpt, and its link are stored there so the reference can be displayed. When your organization enables suite search, document content is indexed in Lectis, and Lectis returns results — titles, snippets, and links — to the other suite products. This is data moving between Ipsis Design LLC's own products, not disclosure to a third party.

Service Providers: We use third-party services to operate Retia:

  • Supabase (database, authentication, file storage)
  • Vercel (hosting and infrastructure)
  • Stripe (payment processing)
  • Resend (transactional email)

These providers process data on our behalf under contractual obligations to protect your information.

Legal Requirements: We may disclose information if required by law, subpoena, or government request, or to protect the rights, safety, or property of Ipsis Design LLC, our users, or the public.

Business Transfers: In the event of a merger, acquisition, or sale of assets, your information may be transferred to the successor entity.

4. Data Storage and Security

Your data is stored on servers in the United States. We implement commercially reasonable security measures to protect your information, including encryption and access controls appropriate to the nature of the data.

No system is completely secure. While we take reasonable precautions, we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials and for any activity under your account.

5. Data Breach Notification

In the event of a security breach that affects your personal information, we will notify affected users in accordance with applicable law. Notification may be provided via email to your registered address or through notice within the Service.

6. Data Retention

Active Accounts: We retain your data for as long as your account is active.

Deleted Accounts: When you delete your account, we will delete your data within 30 days. We may delete data sooner at our discretion.

Backups: Deleted data may persist in encrypted backups for up to 90 days before being purged.

Legal Holds: We may retain data longer if required for legal proceedings or compliance.

7. Your Rights and Choices

Access: You can access your documents and account information through the Service.

Correction: You can update your account information through your profile settings.

Deletion: You can delete your account through account settings. Your data will be deleted within 30 days.

Communication Preferences: You can opt out of non-essential communications, but transactional emails (security alerts, billing) cannot be disabled while your account is active.

8. Cookies and Local Storage

We use:

Essential Cookies: Required for authentication and session management. These cannot be disabled.

Local Storage: Used to remember your preferences (such as document tree expansion state and sort order). This data stays on your device and is not transmitted to our servers.

We do not use advertising or tracking cookies.

9. Children's Privacy

Retia is not intended for users under 16 years of age. We do not knowingly collect information from children under 16. If we become aware that a user is under 16, we will terminate their account and delete their personal data. Content they contributed to shared workspaces may be retained as it becomes part of the workspace, not their individual account.

10. International Users

Retia is operated from the United States. If you access the Service from outside the United States, your information will be transferred to and processed in the United States, which may have different data protection laws than your jurisdiction.

11. Changes to Privacy Policy

We may update this Privacy Policy from time to time. Material changes will be communicated via email or notice within the Service. The "Last Updated" date at the top indicates when the policy was last revised.
